1. About these terms
These terms apply to the services CreateFirst LTD ("we", "us"), provides to your business ("you"). Where a signed proposal or order form differs from these terms, the signed document takes priority.
2. Our services
We provide the services set out in our plan on the website and in your proposal, plus any bolt-on services you agree to.
3. Fees and commission
- A £500 launch deposit is payable at signature. It is refunded in full if we do not deliver 30 creator videos within 30 days of your shop going live. If we do deliver, it is credited against your first commission invoice.
- The plan is commission-only for the first 90 days. From month 4, you pay either a £500 monthly management fee or your commission for that month, whichever is greater, and never both.
- Attributed sales means any TikTok Shop sale generated by a creator we recruited or a video we sourced, including sales driven when those videos are used as ads. Commission is calculated on the product value after discounts, excluding shipping, and less any returns, refunds or cancellations. Returns recorded after we have invoiced are credited on your next invoice.
- Bolt-on services, such as Meta ads, TikTok LIVE shopping and AI UGC creatives, are charged at the prices agreed with you.
- Ad spend and budgets for negotiated ad usage rights are not included in our fees. You pay these directly.
4. Minimum term
The plan has a minimum term of 3 months. It requires a minimum of £1,000 a month in ad spend from month 2. After the minimum term, the agreement continues until either party gives 30 days' written notice.
5. Payment
- We invoice monthly, based on net GMV from attributed sales in the previous month plus any monthly fees and add-ons.
- Invoices are payable within 14 days of the invoice date, by direct debit.
- If an invoice is unpaid after its due date, we may pause the services until it is paid in full.
- We may charge statutory interest and compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
6. Commission after termination
For 12 months after the agreement ends, our commission continues to apply to net GMV generated by videos and creators we sourced during the agreement. This is invoiced and paid on the same terms as above.
7. Your responsibilities
- You are responsible for your products and all claims made about them, including making sure product information and briefs you approve are accurate and lawful.
- You are responsible for product safety, labelling and regulatory compliance, and for complying with TikTok Shop and Meta policies that apply to your products.
- You provide free samples for creators, keep enough stock to fulfil orders, and handle fulfilment and customer service unless you've added our shop operations add-on.
8. Content and intellectual property
Creators own the videos they make. Your use of those videos, including as ads, is limited to TikTok's platform permissions and any usage rights negotiated with creators. Our briefs, playbooks and processes remain our intellectual property.
9. Case studies
You agree that we may name your brand as a client and share campaign results, such as views, orders and return on investment, in our marketing and case studies. We will not share other confidential commercial information.
10. Price review
At the end of your minimum term, and at any renewal, we may review our fees and commission rates. We will give you at least 30 days' written notice of any change.
11. Liability
- Our total liability to you under or in connection with the agreement is limited to the fees you paid us in the 3 months before the event giving rise to the claim.
- We are not liable for indirect or consequential loss, or for loss of profit, revenue or goodwill.
- Apart from the video delivery guarantee, we do not guarantee any specific level of views, sales or results.
- Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.
12. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
